Common use of Terms of Appointment/Duties of Price Associates Clause in Contracts

Terms of Appointment/Duties of Price Associates. 1. Subject to the terms and conditions set forth in this Agreement, the Fund hereby employs and appoints Price Associates to provide, and Price Associates agrees to provide, the Services set forth in Schedule I which include, among other things, all of the Current Price Services that do not constitute BNY Mellon Services and oversight of the BNY Mellon Services. In rendering the services required under this Agreement, Price Associates may, consistent with applicable law from time to time, employ, delegate, or associate with itself such affiliated or unaffiliated person or persons as it believes reasonably necessary to assist it in carrying out its obligations under this Agreement. Price Associates shall remain liable to the Funds for the performance of such obligations hereunder, to the extent specified in this Agreement, and shall be responsible for any fees that may be charged for such services. 2. The Fund and Price Associates hereby agree to terminate the Current Price Accounting Agreement, effective as of the date hereof.
