Common use of Terms of Issuance Clause in Contracts

Terms of Issuance. (a) The Executive acknowledges and agrees that no provision contained in this Agreement shall entitle the Executive to remain in the employment of the Company or its Affiliates, and that the terms and conditions of his employment shall be as set forth in the employment agreement between the Executive and Delek US Holdings, Inc., effective as of May 1, 2009 (the “Employment Agreement”). (b) The Executive and the Company acknowledge and agree that the Executive Membership Interest is authorized and issued pursuant to the LLC Agreement and subject to all of the restrictions applicable to Membership Interests as set forth in the LLC Agreement and in this Agreement.
