Terms of Subcontracts. The Provider must, in any Subcontract, reserve a right of termination to take account of the Department’s right of termination under clauses 309 [Termination with costs] and 319 [Termination for default] and the Department’s right of revocation of approval of a Subcontractor under clause 283, and the Provider must, where appropriate, make use of that right in the Subcontract in the event of a termination, or revocation of approval of the Subcontractor, by the Department. The Provider must, in any Subcontract, bind the Subcontractor, with respect to the Department, to all relevant terms and conditions of this Agreement including clauses: 201 [Personal and Protected Information]; 207 [Confidential Information]; 222 [Retention (of records)]; 233 [Access to premises and records]; 242 [Insurance]; 350 [Negation of employment, partnership and agency]; and 367 [Compliance with laws and government policies]. The Provider must not enter into a Subcontract under this Agreement with a Subcontractor that is non-compliant with the Workplace Gender Equality Act 2012 (Cth). If the Provider does not comply with this clause 271 the Department may: take action under clause 302 [Remedies for breach]; or immediately terminate this Agreement under clause 319 [Termination for default] by providing Notice to the Provider.
