Terms of the Sale and Acquisition of Assets. The sale of the assets of Seller hereunder and the acquisition thereof by PSC shall be made at the Closing (as defined in Section 1.12) based on the respective representations, warranties and agreements of the parties hereto and subject to the terms and conditions herein stated.
