Terms Relating to Consent. Every Transfer shall be subject to the following conditions: (a) except as is otherwise set forth herein with respect to Transfers which do not require the consent of Lessor, the proposed transferee shall be of a financial standing which in Lessor's judgment (based on its then-current underwriting criteria for similar properties and transactions) will allow such proposed transferee to meet its obligations under this Lease as they become due; (b) the Premises shall be used by such transferee for a Permitted Use; (c) there shall be no material default by Lessee which has not been cured within any (if any) applicable cure period under any of the terms, covenants and conditions of this Lease at the time that Lessor's consent to any such Transfer is requested (if such consent is required) or on the effective date of the Transfer; and (d) Lessee shall reimburse Lessor for any reasonable expenses that may be incurred by Lessor in connection with the proposed Transfer, including (without limitation) the costs of making investigations as to the acceptability of a proposed transferee as to whom consent is required and all legal expenses incurred in connection with the granting of any such requested consent to the Transfer; (e) any request for or notice of an assignment of this Lease shall be accompanied by the proposed instrument of assignment and the assignment document will provide that the assignee cannot further transfer its interest without complying with the transfer requirements of this Lease.
Terms Relating to Consent. As to any Transfer that requires Lessor's consent, Lessor shall not unreasonably withhold, delay or condition its consent to the proposed Transfer, provided: (i) the proposed transferee is of a financial standing which in Lessor's reasonable judgment will allow such proposed transferee to meet its obligations under this Lease as they become due; and (ii) the Premises will be used by such transferee for a use permitted by this Lease; (iii) there shall be no material default by Lessee under any of the terms, covenants and conditions of this Lease at the time that Lessor's consent to any such Transfer is requested and on the effective date of the Transfer; (iv) Lessee shall reimburse Lessor for any reasonable expenses that may be incurred by Lessor in connection with the proposed Transfer, including, without limitation, the costs of making investigations as to the acceptability of a proposed transferee and reasonable legal expenses (but not to exceed $1,500) incurred in connection with the granting of any requested consent to the Transfer; and (v) any request for an assignment of this Lease shall be accompanied by the proposed instrument of assignment and the assignment document will provide that the assignee cannot further transfer its interest without complying with the transfer requirements of this Lease.
