Territory Restrictions. Licensee shall not host or cause the Licensed Software to be hosted outside the Territory.

Licensee’s use of the Licensed Marks shall be limited to the Territory and Licensee shall not use or authorize the use of Licensed Marks in any manner, directly or indirectly, outside the Territory. Licensor acknowledges that use by Licensee, or its permitted sublicensees, of the Licensed Marks in connection with an internet site(s) featuring content directed to end users in the Territory does not constitute use outside the Territory for purposes of this Agreement.

Access to, use of or download of such product through PSN by a User outside the Territory is not a breach of this GDPA or a breach of any Publisher Intellectual Property Rights or (as between SIE and Publisher) the Intellectual Property Rights of any other person; provided that SIE shall use commercially reasonable efforts to limit display of, Digitally Delivered Products on PSN to Users within the applicable Territory.

Ascletis agrees, on behalf of itself, its Sublicensees and their respective Affiliates, to not sell or offer to sell or otherwise distribute, directly or indirectly, Product outside the Field or outside the Territory, and shall not sell, offer to sell or otherwise distribute, directly or indirectly, Product to a Third Party who Ascletis, its Sublicensees or their respective Affiliates knows or has reason to know will use, sell, offer to sell or otherwise distribute Product outside the Field or outside the Territory.
Territory Restrictions. The offering of Joi Delivers services initially will be limited to certain cities and states. These specific markets will be announced by Joi Delivers on a regular basis, however, within such markets, there are no exclusive industries, organizations or territories granted to any IMR.

Reseller may not appoint any dealers or sub-resellers to resell or distribute the Products. Reseller may not promote, resell, or distribute the Products via third party online marketplaces such as but not limited to Amazon, Alibaba, eBay and Walmart eCommerce platforms without prior DGC authorization.

Clients may accept customers and payments outside of Clients licensed territory in the event a customer approaches Client and shall be at Clients sole discretion of acceptance of unsolicited customer. Reseller shall not directly or indirectly (i.e., via a third party or an affiliate) advertise, promote, market, sell, lease, distribute or make available for use, the Integrated Product, outside of the Territory. Any violation of the foregoing sentence involving advertising, promoting, marketing, selling, leasing, distributing or making available for use, the Integrated Product, in North America shall be an incurable material breach of this Agreement entitling LobbyGuard to immediately terminate this Agreement, effective upon notice to Reseller.
