TEXTURA™ CONSTRUCTION PAYMENT MANAGEMENT SYSTEM. Unless otherwise authorized in writing by Contractor, Subcontractor’s applications for payment and all documents supporting applications for payment, including but not limited to lien waivers, sworn statements, and similar documents for Subcontractor and its lower-tier subcontractors and suppliers, shall be in electronic format and must be submitted to Contractor using the Textura-CPM™ online payment system. Subcontractor shall pay all enrollment and transaction fees and sales taxes related to its use of Textura-CPM. Subcontractor shall include a similar provision in its lower-tier subcontracts and purchase orders. Contractor will deduct Textura-CPM services fees from the amount owed to Subcontractor. Subcontractor is responsible for all taxes on Textura-CPM fees. Textura-CPM services fees are subject to change by Textura Corp. Textura fees to Subcontractor's lower-tier subcontractors and suppliers are a one-time fixed fee of $100 per lower-tier subcontractor or supplier.
