Common use of The Agreements Clause in Contracts

The Agreements. The Issuer undertakes that it will not: (a) except with the consent of the Dealers, terminate any of the Agreements or effect or permit to become effective any amendment to any such Agreement which, in the case of an amendment, would or might adversely affect the interests of any Dealer or of any holder of Notes issued before the date of such amendment; or (b) except with the consent of the Dealers appoint a different Agent, Registrar, Transfer Agent or different paying agent(s), or a different VPS Agent under the Agency Agreement; or (c) except with the consent of the Dealers, appoint a different VPS Trustee under the VPS Trustee Agreement. and the Issuer will promptly notify each of the Dealers of any termination of, or amendment to any of the Agreements and of any change in the Agent, Registrar, Transfer Agent paying agent(s), VPS Agent under the Agency Agreement and/or the VPS Trustee under the VPS Trustee Agreement.
