THE BUYER'S RIGHT OF SET-OFF. In the event the Buyer has a claim against any of Sellers or Executive Shareholders for indemnification pursuant to this Section 11 or as a result of the failure by the Sellers or the Executive Shareholders to pay the Buyer any amounts owed to it pursuant to Section 3, the Buyer may set-off the amount of such Losses against any amounts payable directly or indirectly by or on behalf of the Buyer to the Sellers from time to time pursuant to this Agreement or the agreements and documents referenced herein, including without limitation any amounts payable by the Buyer to the Escrow Agent pursuant to Section 3.
