The Charter Amendment. Upon the terms and subject to the conditions set forth in this Agreement and in accordance with the NRS, at the Charter Amendment Effective Time, the Charter as in effect immediately prior to the Charter Amendment Effective Time will be amended as set forth in the certificate attached as Exhibit A hereto (the “Company Charter Amendment Certificate”), and, the Charter, as so amended, will be the articles of incorporation of the Company until thereafter amended in accordance with the applicable provisions of this Agreement, the NRS and such articles of incorporation, subject to the provisions of Section 6.9(a).
