THE CLOSING, CONDITIONS PRECEDENT. (i) the closing of the transactions contemplated in this Agreement (the "Closing") shall take place at the offices of Xxxxx & Xxxxxx LLP, 0000 Xxxx Xxxxxx, Xxxxx 0000, Xxxxxx, Xxxxx 00000, commencing at 9:00 a.m. local time on the first business day following the satisfaction of the conditions precedent set forth in the following sentence, or at such other time, date and place as shall be mutually satisfactory to the parties, but not later than June 30, 1998 (the "Closing Date"). Notwithstanding any other provision of this Agreement to the contrary, the Closing shall be subject to the satisfaction of the following conditions precedent:

THE CLOSING, CONDITIONS PRECEDENT. (a) The closing of the transactions contemplated by this Agreement is subject to the satisfaction or waiver of the conditions precedent set forth below in Section 3(b), Section 3(c) and Section 3(d) of this Agreement.
