The Consultant Sample Clauses

The Consultant. The Consultant hereby warrants and represents to the City that the persons executing this Agreement on its behalf have the full and complete right, power, and authority to enter into this Agreement and to agree to the terms, provisions, and conditions set forth in this Agreement and that all legal actions needed to authorize the execution, delivery, and performance of this Agreement have been taken.

The Consultant regularly monitors the credit ratings of the Consultant with the Rating Agencies and • promptly notifies (or shall procure that its auditors promptly notify) the Employer following the occurrence of a Financial Distress Event or any fact, circumstance or matter which could cause a Financial Distress Event and in any event, shall ensure that such notification is made within 14 days of the date on which the Consultant first becomes aware of the Financial Distress Event or the fact, circumstance or matter which could cause a Financial Distress Event.

The Consultant. The person or company that has been engaged by UNICEF to carry out the design of the project and assist in the project implementation and the day to day supervision and inspection of the works.

The Consultant. (i) is acquiring the securities described herein solely for his own account for investment purposes only and not with a view toward resale or distribution thereof, either in whole or in part; and (ii) has no contract, undertaking, agreement or other arrangement, in existence or contemplated, to sell, pledge, assign or otherwise transfer the securities to any other person;

The Consultant. (a) acknowledges that Sensis enters into this Agreement as agent for and on behalf of Telstra; and (b) agrees that: (i) Sensis may exercise on behalf of Telstra any rights granted to Telstra under this Agreement; and (ii) any act performed by Sensis for and on behalf of Telstra in connection with this Agreement shall be an act validly performed by Telstra pursuant to this Agreement.

The Consultant. 3.2.1 at the request of the Client meets the Client and the Service Manager as soon as reasonably practicable (and in any event within three working days of the initial notification (or awareness) of the Financial Distress Event or such other period as the Client or the Service Manager may permit and notify to the Consultant in writing) to review the effect of the Financial Distress Event on its continued performance in accordance with this contract and

The Consultant. 5.1.1 shall provide the Services specified in a Call-Off Contract to the Employer in accordance with this Framework Agreement and the terms of the relevant Call-Off Contract; 5.1.2 acknowledges that it has sufficient information about the Employer; the Services and the scope of services to be provided[and that it has made all appropriate and necessary enquiries to enable it to perform the Services in accordance with the relevant Call-Off Contract; 5.1.3 shall comply with all lawful and reasonable directions of the Employer relating to its performance of the Services under any Call-Off Contract.

The Consultant. 15.1. Redmore aims to ensure that the Consultant is compliant, and, at least for the duration of the Assignment, will continue to comply, with the Qualifications. 15.2. Redmore aims that the Consultant has undergone a ‘pre-employment screening’ within 4 weeks following employment at Redmore or at least within 2 weeks after the start of the activities established in the Contract. 15.3. The Consultant carries out the Assignment under the direction and supervision of the Client. The Client itself is responsible for providing correct instructions and the possible control and monitoring of the correct performance and execution of the activities. 15.4. The deployment and activities of the Consultant are limited to what is agreed prior to or after the start of the Assignment by mutual agreement between Redmore and the Client. The hiring of the Consultant to a third party or deployment of the Consultant abroad is only possible if ▇▇▇▇▇▇▇ has granted its explicit written consent for this. 15.5. If the Consultant is self-employed, ▇▇▇▇▇▇▇ will take care of diligent hiring, assured by a sound hiring agreement, whereby the self-employed party is assessed for economic independence and entrepreneurship.

The Consultant indemnifies the Employer and members of the TfL Group against all Losses arising out of any use by the Employer of the Background Intellectual Property Rights, including, without limitation, any claim that the exploitation of the licence granted by the Consultant under Clause 19.2 infringes the Intellectual Property Rights rights or other rights of any third party.
