Authorization to Perform Services. The Consultant is not authorized to perform any services or incur any costs whatsoever under the terms of this Agreement until receipt of a written Notice to Proceed from the City.

NCPA is not authorized to perform any Services or incur any costs whatsoever under the terms of this Agreement until its receipt of a written resolution and/or other appropriate/applicable authorization from each Contracting Member’s governing body confirming each Contracting Member’s authority to enter into this Agreement and confirming that each Contracting Member has allocated funds for and approved contract payments to NCPA under this Agreement.

Authorization to Perform Services. Each instance in which CGI will perform Services for Customer will be authorized by execution of a Statement of Work. Each such Statement of Work will constitute a separate contract between the signing parties incorporating the terms and conditions of DIR Contract DIR-TSO-2567 and this Agreement by reference. Each Statement of Work will describe the Services to be provided under it with specificity. It will also identify the “Statement of Work Manager” for each party who will serve as that party’s principal point of contact with the other party for all matters pertaining to that Statement of Work. Each party may change its Statement of Work Manager from time to time upon written notice to the other. A Statement of Work may amend the terms and conditions of this Agreement as they apply to that particular Statement of Work, but only if the Statement of Work expressly identifies the section(s) of this Agreement that are being amended.
Authorization to Perform Services. Each separate project or CGI work assignment will be authorized by the execution of a Statement of Work. Each Statement of Work will constitute a separate contract between the signing parties incorporating the terms and conditions of DIR Contract No. DIR-TSO-3826 and this Agreement by reference. A Statement of Work may amend the terms and conditions of this Agreement as they apply to that particular Statement of Work, but only if the Statement of Work expressly identifies the section(s) that are being amended.
Authorization to Perform Services a. Client will ensure that only its representative(s) who have authority to request Services may submit a service request ticket through Provider’s Help Desk system.
b. Client will identify for Provider the Client representative(s) authorized to request the performance of Services through channels other than Provider’s Help Desk system.
c. Client will also identify for Provider the Client representative(s) authorized to request equipment from Provider.
d. Provider acknowledges that purchases by client are subject to approval by Client’s Board of Directors in accordance with Client Board policy.
e. For Services that are not either regularly scheduled or planned in advance, including but not limited to service requests and emergencies arising from unforeseen software or hardware failures, Provider is not required to provide a detailed quote to Client prior to performing such Services. Receipt of a service request from an authorized Client representative shall constitute authorization to perform Services necessary to diagnose the issues and propose a solution. After Provider has diagnosed the scope of Services and any equipment necessary in order to fulfill a Client service request, Provider will notify the representative(s) designated by Client and obtain verbal authorization prior to providing the Services and/or equipment necessary in order to fulfill the service request.
f. In the event Provider becomes aware of the need to perform Services or provide equipment in connection with a situation that Provider determines is likely to result in substantial additional expense to Client if not addressed immediately, Provider will make reasonable efforts to notify the representative(s) designated by Client and obtain verbal authorization prior to providing the Services and/or equipment. Notwithstanding the foregoing, in the event Provider does not receive a timely response from Client’s representative(s), Provider may perform Services and provide equipment that it reasonably determines are required to protect Client from incurring significant additional expense, and it shall not be a defense to payment for Services or equipment provided in such a situation that Provider did not receive verbal authorization after making a reasonable attempt to obtain such authorization.

Authorization to Perform Services. Deluxe or an Affiliate of Deluxe may order Services from eFunds under any current Statement of Work by executing a Work Order. Within one hundred twenty (120) days of the Effective Date, Deluxe and eFunds shall establish a mutually acceptable written procedure for the preparation and appropriate approval and execution of Work Orders for such ordered Services, including procedures for Work Orders issued by Affilates of Deluxe. Until such time as such written procedure has been approved by both parties, eFunds shall perform such Services as are approved in writing by Deluxe's Relationship Manager (as defined in Section 4.3). For the purposes of this Agreement, each such written directive or approval shall be treated as a Work Order. Deluxe shall be obligated to pay for Services and eFunds shall be obligated to perform such Services only pursuant to such a duly approved and executed Work Order. No accepted Work Order shall be deemed amended or modified except upon the express written approval of the parties.
