The District’s Remedies for Operator Default. Upon the occurrence of an Event of Default by the Operator, the District may (i) exercise any of its rights or remedies at law or in equity, subject to any limitations set forth in this Agreement or (ii) terminate this Agreement upon thirty (30) days advance written notice to the Operator. Any termination of this Agreement by the District pursuant to Section 8.1(b) shall require the payment by the District of the Operator Termination Fee pursuant to Section 9.3 hereof, except that the District shall not be required to pay the Operator the Wind-down Expenses.
