Common use of The Effective Time Clause in Contracts

The Effective Time. The Merger shall become effective (the "Effective ------------------ Time") immediately upon the later of (i) the date on which a Certificate of Merger, together with any other documents required to be filed to consummate the Merger, is filed with and accepted by the Secretary of State of the State of Delaware, or (ii) any future effective date or time of the Merger stated in the Certificate of Merger filed with and accepted by the Secretary of State of the State of Delaware.

The Effective Time. The Merger shall become effective (the "Effective ------------------ Time") immediately upon the later filing of (i) the date on which a Certificate certificate of Mergermerger executed by Xxxxxx Capital, together Inc with any other documents required to be filed to consummate the Merger, is filed with and accepted by the Secretary of State of the State of Delaware, or Delaware in the form of which is attached as Annex A and (ii) any future effective date or time of the Merger stated in the Certificate this Agreement and Plan of Merger filed with executed by CyberSentry, Inc and accepted by the Secretary of State of the State of DelawareXxxxxx Capital, Inc to be effective June 29, 2007.

The Effective Time. The Merger shall become effective on the date and at the time that the certificate of merger (the "Effective ------------------ Time") immediately upon the later of (i) the date on which a “Certificate of Merger, together with any other documents required to be filed to consummate the Merger, ”) is filed with and accepted by the Secretary of State of the State of Delaware, or (ii) any future effective date or Delaware and becomes effective. The time of at which the Merger stated in shall become effective as aforesaid is referred to herein as the Certificate of Merger filed with and accepted by the Secretary of State of the State of Delaware“Effective Time.”

The Effective Time. The Merger shall will become effective as set forth in a certificate of merger (the "Effective ------------------ Time") immediately upon the later of (i) the date on which a “Certificate of Merger, together with any other documents required to ”) that shall be filed to consummate the Merger, is filed with and accepted by the Secretary of State of the State of Delaware, or (ii) any future effective Delaware on the Closing Date. The “Effective Time“ shall be the date or and time of at which the Merger stated becomes effective as set forth in the Certificate of Merger filed with and accepted by the Secretary of State of the State of DelawareMerger.

The Effective Time.
