Common use of The Field Clause in Contracts

The Field. During the term of this Agreement, the term "Field" shall mean the discovery and development of therapeutic products for application in critical care and inflammation and diagnostic products intended to be sold in conjunction with such therapeutic products. Following termination of this Agreement, for purposes of Section 1.4(a), the term "Field" shall be limited to those projects that were either (a) actually undertaken by the Company or (b) described in a written proposal approved by the Company's Board of Directors or (c) pursued to the extent that the Company developed or obtained proprietary scientific or business information relating thereto, before termination of this Agreement.
