The "FRANCHISE FEE. 4.1 The upfront franchise fee shall be paid by the FRANCHISEE to the FRANCHISOR in accordance with Annexure "A" clause 8 hereto. The full amount plus VAT shall be paid by the FRANCHISEE to the FRANCHISOR upon signature of this agreement by the FRANCHISEE.
4.2 Subject to clause 4.3, the franchise fee will be non-refundable, should the agreement be terminated at any stage for whatever reason.
4.3 If the commencement of business in the FRANCHISED BUSINESS is reliant upon the securing of suitable premises, and these cannot, through no fault or neglect on the part of the FRANCHISEE, be secured within 90 (ninety) days from the date of signature of the agreement, then the FRANCHISOR will be entitled to cancel the agreement as contemplated in clause 15. If the agreement is cancelled on this basis and this basis alone, then the FRANCHISEE will be entitled to a partial refund of the FRANCHISE FEE, after the FRANCHISOR has deducted a sum equal to the reasonable fees, costs and/or expenses incurred by the FRANCHISOR in selecting, recruiting, training, assisting and dealing with the FRANCHISEE, as well as all other reasonable fees, costs and/or expenses incurred with a view to setting up the FRANCHISED BUSINESS.
The "FRANCHISE FEE. You agree to pay us a nonrecurring franchise fee in the amount of $-O upon execution of this Agreement. This franchise fee will be fully earned by us when paid and is not refundable, except as provided in Section 1.2.5
(a) The franchise fee represents payment to us for your right to use the Marks and the Mrs. Fields System in the develo▇▇▇▇▇ ▇▇▇ ▇peration of your Cookie Store.
The "FRANCHISE FEE. FRANCHISEE shall pay an initial franchise fee (the "FRANCHISE FEE") to SHOPPE COMPANY, for the right to enter into this AGREEMENT and in consideration of the FRANCHISE, in an amount determined as follows:
(a) If this AGREEMENT grants the Franchise to a New FRANCHISEE for a New Haagen-Dazs® Shop, then the full amount of the FRANCHISE FEE is $30,000. The FRANCHISE v--»—^ 6 April 2006 FEE is due in two installments. The first installment, in the amount of $10,000, must be paid upon FRANCHISEE'S signing of this AGREEMENT. The second installment, in the amount of $20,000, must be paid within 15 days following SHOPPE COMPANY'S designation of the SHOP PREMISES under the terms of EXHIBIT A.
(b) If this AGREEMENT grants the Franchise to an Existing FRANCHISEE for a New Haagen-Dazs® Shop, then the full amount of the FRANCHISE FEE is $15,000. The FRANCHISE FEE is due in two installments. The first installment, in the amount of $10,000, must be paid upon FRANCHISEE'S signing of this AGREEMENT. The second installment, in the amount of $5,000, must be paid within 15 days following SHOPPE COMPANY'S designation of the SHOP PREMISES under the terms of EXHIBIT A.
(c) If this AGREEMENT grants a Successive Term Franchise, then the full amount of the FRANCHISE FEE shall be $10,000, which is due and payable upon FRANCHISEE'S signing of this AGREEMENT.
