The Initial Purchase, Subsequent Purchases and Incremental Purchases. (a) Subject to the conditions described in Section 2.1, the initial Purchase and each Incremental Purchase shall be made in accordance with the procedures described in Section 2.2(b). After the Collection Date has occurred, each of the Purchasers and the Deal Agent, in accordance with their respective interests, shall assign and transfer to the Seller their respective remaining interest in Asset Interests to the Seller free and clear of any Adverse Claim resulting solely from an act or omission by a Purchaser or the Deal Agent, but without any other representation or warranty, express or implied.
