The Joint Collateral Agent. The Joint Collateral Agent, -------------------------- the Administrative Agent and the Trustee, by their acceptance of the benefits hereof, hereby agree among themselves as follows (it being understood and agreed that the Pledgor shall not have any rights or obligations under this Section 5):
