THE MASTER SERVICER, THE SPONSOR, AND THE DEPOSITOR. Section 5.01. Liability of the Sponsor, the Master Servicer, and the Depositor. The Sponsor, the Depositor, and the Master Servicer shall be liable only for their express agreements under this Agreement. Section 5.02. Merger or Consolidation of, or Assumption of the Obligations of, the Master Servicer or the Depositor. Any corporation into which the Master Servicer or the Depositor may be merged or consolidated, or any corporation resulting from any merger, conversion, or consolidation to which the Master Servicer or the Depositor is a party, or any corporation succeeding to the business of the Master Servicer or the Depositor, shall be the successor of the Master Servicer or the Depositor, as the case may be, under this Agreement, without the execution or filing of any paper or any further act on the part of any of the parties to this Agreement, notwithstanding anything in this Agreement to the contrary.
