The New Notes Indenture Sample Clauses

The New Notes Indenture. The New Notes Indenture has been duly authorized by the Company and, when executed and delivered by the Company and the New Notes Trustee, will be a legal, valid and binding agreement of the Company, enforceable in accordance with its terms, except as the enforceability thereof may be limited by bankruptcy, insolvency, reorganization, moratorium or similar laws affecting creditors’ rights generally and general principles of equity (regardless of whether enforcement is sought in a proceeding at law or in equity).
The New Notes Indenture. On the Settlement Date, the New Notes Indenture, on terms consistent with the description thereof in the Registration Statement, any Preliminary Prospectus and the Prospectus, shall have been duly executed and delivered by the Company, each of the Guarantors and the New Trustee and shall be in full force and effect on such date and the New Notes shall have been duly executed and delivered by the Company and duly authenticated by the New Trustee on the Settlement Date.
