The Ordering Party Clause Samples

The "Ordering Party" clause defines the individual or entity responsible for placing orders under the agreement. It typically specifies the rights and obligations of the party initiating purchases, such as providing accurate order details, adhering to agreed procedures, and ensuring payment. This clause clarifies who holds the authority to make binding commitments on behalf of the buyer, thereby preventing confusion or disputes over who is authorized to place orders and ensuring that both parties understand their respective roles in the transaction process.
The Ordering Party undertakes not to disclose information related to the production activities, security protection of the production and the system of comprehensive protection of the Issuer’s premises which it learns in association with this contractual relation. The Issuer hereby warns the Ordering Party that such information is confidential within the meaning of the Act No. 412/2005 Coll., on protection of confidential information and on security qualification, as amended.
