The Partnership and the REIT acknowledge that one of the Permitted Encumbrances is an approximately $2,200,000 mechanics lien in favor of Clayco Construction Company. Prior to the Stage I Closing, Xxxxxx Xxxxxx and Xxxxxx X. Xxxxxx shall deliver an indemnity agreement with respect to such mechanics lien and certain environmental matters to RMOP and the Title Insurer, which indemnity agreement shall be substantially in the form of EXHIBIT U attached (the "MECHANICS LIEN AND ENVIRONMENTAL INDEMNITY").
