THE REORGANIZATION AND LIQUIDATION OF THE SELLING FUND. 1.1 Subject to the terms and conditions herein set forth and on the basis of the representations and warranties contained herein, the Selling Fund agrees to assign, deliver and otherwise transfer the Selling Fund Assets (as defined in paragraph 1.2) to the Acquiring Fund and the Acquiring Fund agrees in exchange therefor to assume all of the Selling Fund stated liabilities on the Closing Date as set forth in paragraph 1.3(a) and to deliver to the Selling Fund the number of Acquiring Fund Shares, including fractional shares, determined in the manner set forth in paragraph 2.
