The Sale Shares and the Company. 1.2.1 The Sellers are the legal and beneficial owners and the registered holders of the relevant Sale Shares, free and clear of any Encumbrances whatsoever and the Sellers have the right to exercise all voting rights and other rights over the Sale Shares.
