The Sales Agent is duly organized and validly existing as a limited liability company in good standing under the laws of the State of Delaware with full power and authority to conduct its business as described in the Prospectus. The Sales Agent is qualified to do business and is in good standing as a foreign limited liability company in each jurisdiction in which it is doing business as described in the Prospectus, which requires such qualification to enable the Sales Agent to conduct the business in which it is engaged as described.
