THE SETTLEMENT CONSIDERATION. 6. In full settlement of the claims asserted in the Action against Defendants and in consideration of the releases specified in ¶¶4-5, above, all of which the Parties agree are good and valuable consideration, Defendants shall pay, or cause to be paid, the Settlement Amount into the Escrow Account within thirty (30) calendar days of the later of: (a) the Court’s preliminary approval of the Settlement; and (b) Co-Lead Counsel’s provision to Defendants’ Counsel of the information necessary to effectuate a transfer of funds to the Escrow Account, including, but not limited to, wire transfer instructions, payment address, and a complete and executed Form W-9 for the Settlement Fund that reflects a valid tax identification number.

In full and complete settlement of the claims asserted in the Action against Defendants and in consideration of the releases specified in ¶¶4-5, above, all of which the Parties agree are good and valuable consideration, Defendants shall pay, or cause to be paid, the Settlement Amount into the Escrow Account within Account, by check or wire, no later than thirty (30) calendar days following the later of (i) entry of the later of: Preliminary Approval Order; or (aii) the Court’s preliminary approval of the Settlement; and (b) Co-Lead Counsel’s provision Labaton Sucharow providing to Defendants’ Counsel of Xxxx Xxxxx the information necessary to effectuate a transfer of funds to the Escrow Account, including, including but not limited to, wire transfer instructions, payment address, and a complete and executed Form W-9 for the Settlement Fund that reflects a valid tax identification number.
