The Share Exchange. Subject to the terms and conditions of this Agreement, on the Closing Date (as hereinafter defined): (a) the Company shall issue and deliver to the Shareholders the number of authorized but unissued shares of Company Common Stock set forth opposite her and/or her designees’ names set forth on Schedule I hereto or pursuant to separate instructions to be delivered prior to Closing, and (b) the Shareholders agree to deliver to the Company duly endorsed certificates representing the Weixin Shares.
