The Specification. B2.1 The Contractor shall supply and, where relevant, install the Goods in accordance with the Specification and the Tender and with all applicable provisions of the Contract.
The Specification. Supplier shall accept all Orders that are placed consistent with Buyer’s Forecasts and otherwise in accordance with the lead-times as agreed by the Parties. In the event that Supplier is unable to meet the delivery date set forth in an Order because the demand under the Order exceeds the previously Forecasted demand or if within the Forecast but the delivery date is shorter than the lead-time, the Parties shall negotiate in good faith to resolve the matter. Supplier will accommodate Orders that are within 25% of the previously Forecasted demand.
The Specification. 4.1 The features and functionality of the Product are as detailed in the Specification and the Buyer assumes responsibility for ensuring that the Product is sufficient and suitable for its purposes and, save where the Buyer has engaged the Supplier under a professional services agreement to assess the sufficiency of the Buyer Network to enable the Product to function in accordance with the Specification, that the Buyer Network is sufficient to support the Product.
4.2 The Buyer shall not rely upon any warranty (other than those stated in the Call-Off Contract) or technical statements concerning the Product which is to be supplied under the Call- Off Contract except where such statements have been confirmed in writing and signed by a duly authorised officer of the Supplier and expressly incorporated herein.
The Specification. 10.1 The Service shall consist of all the services as described in clause 2.7 of this Agreement and set out in detail in the SAFA each year. These will include: The provision by The Trust of a single point of contact for the service users described in clause 2.7 of the Agreement, their carers and relatives, and health workers for help, guidance and information. Management by The Trust in of: - Placements, direct payments and seconded Council staff within the Council’s direct budgeted allocations to the service as monitored and advised by the Council’s Finance Department. - the overall management of The Service functions - the management of any process of change required for such services; and - any additional services as provided for within this Agreement.
10.2 From the date of commencement of this Agreement The Trust will continue to carry out the delivery and management functions as Lead Party and will use reasonable endeavours to manage within the Council’s and The Trust’s budgets for the provision of The Service all of which obligations and arrangements are as set out in this Agreement;
10.3 For the avoidance of doubt, the Council shall provide or arrange support at current activity levels on a non-fee paying basis in relation to the exercise of the Health Related Functions by The Trust on behalf of the Council, namely Legal Services, Human Resources, Finance, IT, Information and Performance Management, Communications and premises, as described in clause 4.5. Protocols setting out these working arrangements have been established and are attached and dated in the annexes to this Agreement.
10.4 Both parties agree that all of The Service to be delivered under the terms of this Agreement will be subject to:-
10.4.1 Best Value provisions, contained in the Local Government Act 1999. The arrangements will therefore be subject to the Council’s obligations for Best Value and the Trust will cooperate with all reasonable requests from the Council which the Council considers necessary in order to fulfil its Best Value obligations.
The Specification. In the event of any conflict between the above, the Specification shall take precedence.
The Specification. The Method Statements (to the extent that they do not conflict with the terms and conditions of this Agreement or the Specification).
The Specification. The documents in 1 are termed “the Contract Documents”.
The Specification. This Agreement shall prevail over any terms and conditions in Your order, invitation to tender, request for proposal or acceptance. No conduct by Us shall be deemed to constitute acceptance of any terms put forward by You.
The Specification. 35.1. The quantity, quality and description of the Software shall be as specified by the Authority in the Specification Schedule.
The Specification. 4.1 Works to walls (general comments)
i) Most of the buildings have single skin brick walls, sometimes reinforced by buttresses. The structural function of the brickwork is crucial; it is not just a facing, as it might be in more substantial buildings elsewhere. This limits the extent of erosion that can be safely accepted in the brickwork, although it must be stressed that superficial surface erosion is not a justification for replacement.
ii) The sensitivity of the walls is complicated by the insubstantial foundations or footings that they were probably built on, which would account for the extent of movement and cracking in them.
iii) In this section and wherever else the need for “bespoke structural advice” is indicated, this must be from a qualified structural engineer with specialist experience and formal accreditation in conservation.
