Common use of The Subsidiary Guarantees and JV Subsidiary Guarantees Clause in Contracts

The Subsidiary Guarantees and JV Subsidiary Guarantees. Subject to the provisions of this Article XI, each of the Subsidiary Guarantors and JV Subsidiary Guarantors (such guarantee provided by a JV Subsidiary Guarantor, a “JV Subsidiary Guarantee”) (whether originally a signatory hereto or added pursuant to a supplemental indenture) hereby, jointly and severally, guarantees as principal obligor to each Holder of a Note authenticated by the Registrar and to the Trustee and its successors and assigns the due and punctual payment of the principal of, premium, if any, and interest on, and all other amounts payable to the Holders or the Trustee under this Indenture or the Notes; provided that any JV Subsidiary Guarantee will be limited to the JV Entitlement Amount.
