Common use of THE TIME AND PLACE OF DELIVERY Clause in Contracts

THE TIME AND PLACE OF DELIVERY. 2.1 The Seller shall deliver the Object of Purchase and shall carry out Related Activities within three (3) months from the effectiveness of this Contract, unless stipulated otherwise in this Contract. The time of delivery is stipulated herein in favour of the Buyer. The Buyer is entitled to prolong the time for delivery Object of Purchase and for carrying out Related Activities for two (2) more months, should there be important reasons for that on the side of the Buyer, such as, but not only, impossibility to take over the Object of Purchase at the Buyer´s premises. 2.2 The place of delivery shall be Fyzikální xxxxx XX XX, x.x.x - XxXXXX Xxxxxxx, Xx Radnicí 000, 000 00 Xxxxx Xxxxxxx, Xxxxx Xxxxxxxx or any other address in Dolní Břežany, Czech Republic, which the Buyer communicated to the Seller prior to the delivery of the Object of Purchase. 2.3 The Object of Purchase setup and installation under Art. 1.2.b.) of this Contract shall take place on the day of delivery of the Object of Purchase, unless Buyer and Seller agree otherwise. The training under Art. 1.2.c.) of this Contract shall take place within one week from the delivery day, unless Buyer and Seller agree otherwise. 2.4 The Seller acknowledges that the deadlines stated in this Article are of essential importance to the Buyer with respect to the timeline of the Project with respect to the deadline by which the Project are to be implemented, and that the Buyer could incur damage as a result of failure to meet the above stipulated deadlines.

The Buyer is entitled to prolong the time for delivery Object of Purchase and for carrying out Related Activities for two (2) more months, should there be important reasons for that on the side of the Buyer, such as, but not only, impossibility to take over the Object of Purchase at the Buyer´s premisespremises due to reconstruction works taking place there. 2.2 The place of delivery shall be Fyzikální xxxxx XX XX, x.x.x - XxXXXX Xxxxxxx, Xx Radnicí 000, 000 00 Xxxxx Xxxxxxx, Xxxxx Xxxxxxxx or any other address in Dolní Břežany, Czech Republic, which the Buyer communicated to the Seller prior to the delivery of the Object of Purchase. 2.3 The Object of Purchase setup and installation under Art. 1.2.b.) of this Contract shall take place on the last day of delivery of the Object of Purchasedelivery, unless Buyer and Seller agree otherwise. The training under Art. 1.2.c.) of this Contract shall be carried out for approximately five people/Buyer´s employees, shall start on the last day of the Object of Purchase installation and shall take place within one week from the delivery dayat least two working days in lengt, unless Buyer and Seller agree otherwise. 2.4 The Seller acknowledges that the deadlines stated in this Article are of essential importance to the Buyer with respect to the timeline of the Project with respect to the deadline by which the Project are to be implemented, and that the Buyer could incur damage as a result of failure to meet the above stipulated deadlines.

A full breakdown of the delivery schedule will be provided within 1 month of the effectiveness of the Contract.The time of delivery is stipulated herein in favour of the Buyer. The Buyer is entitled to prolong the time for delivery Object of Purchase and for carrying out Related Activities for two (2) more months, should there be important reasons for that on the side of the Buyer, such as, but not only, impossibility to take over the Object of Purchase at the Buyer´s premisespremises agreed in this Contract (place of delivery in Art. 2.2 of this Contract) due to reconstruction works taking place there. 2.2 The place of delivery shall be Fyzikální xxxxx XX XXHiLASE Centre Za Radnicí 828, x.x.x - XxXXXX Xxxxxxx, Xx Radnicí 000, 000 00 Xxxxx Xxxxxxx, Xxxxx Xxxxxxxx or any other address in 252 41 Dolní Břežany, Czech RepublicRepublic (“Place of delivery”) or any other address, which the Buyer communicated to the Seller prior to the delivery of the Object of Purchase. 2.3 The Object of Purchase setup setup, installation and installation site acceptance test under Art. 1.2.b.) of this Contract shall take place on the last day of delivery of the Object of Purchasedelivery, unless Buyer and Seller agree otherwise. The training under Art. 1.2.c.) of this Contract shall take place within one week from the delivery day, unless Buyer Xxxxx and Seller agree otherwise. 2.4 The Seller acknowledges that the deadlines stated in this Article are of essential importance to the Buyer with respect to the timeline of the Project with respect to the deadline by which the Project are to be implemented, and that the Buyer could incur damage as a result of failure to meet the above stipulated deadlines.

The seller shall deliver item no. 4 of the Object of Purchase within four (4) weeks from from Buyer´s request; the Buyer´s request shall be done within 12 months from the effectiveness of the Contract. The time of delivery is stipulated herein in favour of the Buyer. The Buyer is entitled to prolong the time for delivery Object of Purchase and for carrying out Related Activities for two one (21) more monthsmonth, should there be important reasons for that on the side of the Buyer, such as, but not only, impossibility to take over the Object of Purchase at the Buyer´s premisespremises due to reconstruction works taking place there. 2.2 The place of delivery shall be Fyzikální xxxxx XX XX, x.x.x - XxXXXX Xxxxxxx, Xx Radnicí 000, 000 00 Xxxxx Xxxxxxx, Xxxxx Xxxxxxxx or any other address in Dolní Břežany, Czech Republic, which the Buyer communicated to the Seller prior to the delivery of the Object of Purchase. 2.3 The Object of Purchase setup and installation under Art. 1.2.b.) of this Contract shall take place on the last day of delivery of the last item out of items no. 1,2,3,5,6,7,8,9 of the Object of Purchase, unless Buyer and Seller agree otherwise. The training under Art. 1.2.c.) of this Contract shall take place within one week month from the delivery dayof the last item out of the items items no. 1,2,3,5,6,7,8,9 of the Object of Purchase, unless Buyer and Seller agree otherwise. 2.4 The Seller acknowledges that the deadlines stated in this Article are of essential importance to the Buyer with respect to the timeline of the Project with respect to the deadline by which the Project are to be implemented, and that the Buyer could incur damage as a result of failure to meet the above stipulated deadlines.

THE TIME AND PLACE OF DELIVERY. 2.1 The Seller shall deliver the whole Object of Purchase and shall carry out Related Activities within three five (35) months from the effectiveness of this Contract, unless stipulated otherwise in this ContractCotnract. The time of delivery is stipulated herein in favour of the Buyer. The Buyer is entitled to prolong the time for delivery Object of Purchase and for carrying out Related Activities for two one (21) more monthsmonth, should there be important reasons for that on the side of the Buyer, such as, but not only, impossibility to take over the Object of Purchase at the Buyer´s premisespremises due to reconstruction works taking place there. The Seller is entitled to deliver the Object of Purchase and/or carry our Related Acitivities even earlier, provided the Buyer explicitly agree with the earlier delivery of the Object of Purchase and/or carrying out the Related Acitivites. The Object of Purchase shall be delivered by 30th November 2018 at the latest. 2.2 The place of delivery shall be Fyzikální xxxxx XX XX, x.x.x - XxXXXX Xxxxxxx, Xx Radnicí 000, 000 00 Xxxxx Xxxxxxx, Xxxxx Xxxxxxxx or any other address in Dolní Břežany, Czech Republic, which the Buyer communicated to the Seller prior to the delivery of the Object of Purchase. 2.3 The Object of Purchase setup and installation under Art. 1.2.b.) of this Contract shall not take place on longer than 14 calendar days from the day of delivery of the Object of Purchasedelivery, unless Buyer and Seller agree otherwise. The training under Art. 1.2.c.) of this Contract shall take place within one week from the delivery dayon last day of of Object of Purchase setup and installation, unless Buyer and Seller agree otherwise. 2.4 The Seller acknowledges that the deadlines stated in this Article are of essential importance to the Buyer with respect to the timeline of the Project with respect to the deadline by which the Project are to be implemented, and that the Buyer could incur damage as a result of failure to meet the above stipulated deadlines.
