The Unit Subscription Agreements. Each Unit Subscription Agreement has been duly authorized, executed and delivered by the Company and the Sponsor (in the case of the Unit Subscription Agreement to which the Sponsor is a party), and is the valid and binding agreement of the Company and, in the case of the Unit Subscription Agreement to which the Sponsor is a party, the Sponsor, as applicable, and enforceable against the Company and the Sponsor, as applicable, in accordance with its terms, except as enforceability may be limited by applicable bankruptcy, insolvency or similar laws affecting the enforcement of creditors’ rights generally or by equitable principles relating to enforceability.
