These License Terms take precedence over the provisions of the Main Contract including its annexes, unless the Main Contract expressly deviates from these License Terms. In the event of any contradictions between the Main Contract and its annexes, the provisions of the Main Contract shall prevail over those of the annexes (with the exception of these License Terms).

These License Terms constitute the entire agreement and understanding between HL7 and Licensee regarding the subject matter contained herein. No modification or waiver of these License Terms shall be binding unless it is in writing and signed by both parties. If any provision of these License Terms is held by a court of competent jurisdiction to be invalid, illegal or unenforceable, such provision shall be omitted and the remaining terms shall remain in full force and effect.
