Common use of Third Additional Investors Tranche Financing Clause in Contracts

Third Additional Investors Tranche Financing. (i) Subject to the terms and conditions hereof and the terms and conditions of the Operating Agreement, including Section 3.6.5.2 thereof, upon the satisfaction (or waiver by the Investor) of all of the conditions set forth in Section 3.6.5.2 of the Operating Agreement, the Company hereby agrees to issue and sell to the Investor, and the Investor hereby subscribes for and agrees to purchase the amount of Preferred Interests convertible into the amount of the Fully Diluted Company Interests set forth opposite the heading “Third Tranche Capital Contribution” set forth on Exhibit B attached hereto for the aggregate purchase price that corresponds to such Third Tranche Capital Contribution amount set forth on Exhibit B attached hereto.
