Common use of Third Party Claim Assistance Clause in Contracts

Third Party Claim Assistance. From time to time after the Closing, ---------------------------- Purchaser, the Company and the Shareholders shall provide, or cause their appropriate employees or representatives to provide, the other Parties with information or data in connection with the handling and defense of any third party claim or litigation (including counterclaims filed by the parties) in respect to which a Party may be required to indemnify another Party under this Agreement. The Party receiving such information or data shall reimburse the other Parties for all of their reasonable costs and expenses in providing these services, including, without limitation, (a) all out of pocket, travel and similar expenses incurred by their personnel in rendering these services; and (b) all fees and expenses for services performed by third parties engaged by or at the request of such other Parties.
