Common use of Third Party Claim of Infringement Clause in Contracts

Third Party Claim of Infringement. (a) If a claim of patent infringement or misappropriation or wrongful use of a trade secret or other proprietary right is brought against a Party hereto in any country by reason of any act conducted in the furtherance of this Agreement, or if a Party becomes aware of any act potentially infringing a patent or other proprietary right owned by a third party in any country, such Party shall promptly give notice thereof to the other Party and provide it with all information in its possession regarding such claim or potential infringement.
