Common use of THIRD PARTY CONSENTS AND PERMITS Clause in Contracts

THIRD PARTY CONSENTS AND PERMITS. All consents and approvals from parties to contracts or other agreements with MAXIMUS and all Permits (including any state securities law approvals required in connection with the issuance of MAXIMUS Common Stock) that may be required in connection with the performance by MAXIMUS of its obligations under this Agreement shall have been obtained.

THIRD PARTY CONSENTS AND PERMITS. All consents and approvals from parties to contracts or other agreements with MAXIMUS Control and all Permits (including any state securities law approvals required in connection with the issuance of MAXIMUS Common Stock) that may be required in connection with the performance by MAXIMUS Control or the Stockholders of its their respective obligations under this Agreement or the continuance of such contracts or other agreements with Control or MAXIMUS after the Closing shall have been obtained.

All consents and approvals from parties to contracts or other agreements with MAXIMUS Maximus and all Permits (including any state securities law approvals required in connection with the issuance of MAXIMUS Maximus Common Stock) that may be required in connection with the performance by MAXIMUS Maximus of its obligations under this Agreement shall have been obtained.

All consents and approvals from parties to material contracts or other agreements with MAXIMUS Holdings and all Permits (including any state securities law approvals required in connection with the issuance of MAXIMUS Holdings Common Stock) that may be required in connection with the performance by MAXIMUS Envision or Holdings of its obligations under this Agreement shall have been obtained.
