Third Party Defendant. Company hereby agrees that in the event a claim is brought against Indemnitee in any Proceeding to which Indemnitee would be entitled to Indemnification under Articles IV and VI hereunder, and Indemnitee desires to name Company as a third party defendant in any such Proceeding, Company will not contest service of process or personal jurisdiction.
