Third-Party Information; Privacy or Data Protection Laws. Each Party acknowledges that it and its respective Subsidiaries may presently have and, after the Effective Time, may gain access to or possession of confidential or proprietary Information of, or personal Information relating to, Third Parties: (i) that was received under confidentiality or non-disclosure agreements entered into between such Third Parties, on the one hand, and the other Party or the other Party’s Subsidiaries, on the other hand, prior to the Effective Time or (ii) that, as between the two parties, was originally collected by the other Party or the other Party’s Subsidiaries and that may be subject to and protected by privacy, data protection or other applicable Laws. Each Party agrees that it shall hold, protect and use, and shall cause its Subsidiaries and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary Information of, or personal Information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Effective Time or affirmative commitments or representations that were made before the Effective Time by, between or among the other Party or the other Party’s Subsidiaries, on the one hand, and such Third Parties, on the other hand.

With respect to legally-protected personal information received from consumers before the Effective Time, each Party agrees that it will not use data in a manner that is materially inconsistent with promises made at the time the data was collected unless it first obtains affirmative express consent from the relevant consumer.

Each Party agrees that it shall hold, protect and use, and shall cause the members of its Subsidiaries Group and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary Information of, or personal Information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Distribution Effective Time or affirmative commitments or representations that were made before the Distribution Effective Time by, between or among the other Party or members of the other Party’s SubsidiariesGroup, on the one hand, and such Third Parties, on the other hand.

Each Party agrees that it shall hold, protect and use, and shall cause the members of its Subsidiaries Group and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary Information of, or legally protected personal Information relating to, Third Parties in accordance with privacy policies and privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Effective Time or affirmative commitments or representations that were made before the Effective Time by, between or among the other another Party or the other members of another Party’s SubsidiariesGroup, on the one hand, and such Third Parties, on the other hand.

Each Party As may be provided in more detail in an applicable Ancillary Agreement, each party agrees that it shall hold, protect and use, and shall cause its Subsidiaries and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary Information of, or personal Information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Effective Time Distribution Date or affirmative commitments or representations that were made before the Effective Time Distribution Date by, between or among the other Party party or the other Partyparty’s Subsidiaries, on the one hand, and such Third Parties, on the other hand.

Each Party acknowledges that it and its respective Subsidiaries Affiliates may presently have and, after the Effective TimeDate, may gain access to or possession of confidential or proprietary Information of, or personal Information relating to, Third Parties: (i) that was received under confidentiality or non-disclosure agreements entered into between such Third Parties, on the one hand, and the other Party or the other Party’s SubsidiariesAffiliates, on the other hand, prior to the Effective Time Date or (ii) that, as between the two partiesParties, was originally collected by the other Party or the other Party’s Subsidiaries Affiliates and that may be subject to and protected by privacy, data protection or other applicable Laws. Each Party agrees that it shall hold, protect and use, and shall cause its Subsidiaries and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary Information of, or personal Information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Effective Time Date or affirmative commitments or representations that were made before the Effective Time Date by, between or among the other Party or the other Party’s SubsidiariesAffiliates, on the one hand, and such Third Parties, on the other hand.

Third-Party Information; Privacy or Data Protection Laws. Each Party of Purchaser and Manufacturer acknowledges that it and its respective Subsidiaries Affiliates may presently have and, after and following the Effective Time, Date may gain access to or possession of confidential or proprietary Information of, or personal Information relating to, of Third Parties: Parties (i) that was received under confidentiality or non-disclosure agreements entered into between such Third Parties, on the one hand, and the other Party or and/or the other Party’s SubsidiariesAffiliates, on the other hand, prior to the Effective Time Date; or (ii) that, that as between the two parties, Parties was originally collected by the other Party or and/or the other Party’s Subsidiaries Affiliates and that may be subject to and protected by privacy, data protection or other applicable Laws. Each Party agrees Purchaser and Manufacturer each agrees, as or to the extent provided in this Agreement, that it shall hold, protect and use, and shall cause its Subsidiaries Affiliates and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary Information of, or personal Information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Effective Time or affirmative commitments or representations that were made before the Effective Time by, between or among the other Party or and/or the other Party’s SubsidiariesAffiliates, on the one hand, and such Third Parties, on the other hand.

Third-Party Information; Privacy or Data Protection Laws. Each Party acknowledges that it and members of its respective Subsidiaries Group may presently have and, after following the Effective Time, may gain access to or possession of confidential or proprietary Information information of, or personal Information information relating to, Third Parties: (ia) that was received under confidentiality or non-disclosure agreements entered into between such Third Parties, on the one hand, and the other Party or the other members of such Party’s SubsidiariesGroup, on the other hand, prior to the Effective Time Time; or (iib) that, as between the two partiesParties, was originally collected by the other Party or the other members of such Party’s Subsidiaries Group and that may be subject to and protected by privacy, data protection or other applicable Laws. Each Subject to the Data Sharing Agreement and any other Ancillary Agreement, each Party agrees that it shall will hold, protect and use, and shall will cause the members of its Subsidiaries Group and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary Information information of, or personal Information information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Effective Time or affirmative commitments or representations that were made before the Effective Time by, between or among the other Party or members of the other Party’s SubsidiariesGroup, on the one hand, and such Third Parties, on the other hand.

Third-Party Information; Privacy or Data Protection Laws. Each Subject to the Data Sharing Addendum and any other Ancillary Agreement, each Party agrees that it shall hold, protect and use, and shall cause the members of its Subsidiaries Group and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary Information information of, or personal Information information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Effective Time or affirmative commitments or representations that were made before the Effective Time by, between or among the other Party or members of the other Party’s SubsidiariesGroup, on the one hand, and such Third Parties, on the other hand.

Third-Party Information; Privacy or Data Protection Laws. Each Party acknowledges that it and its respective Subsidiaries may presently have and, after following the Effective Time, may gain access to or possession of confidential or proprietary Information information of, or personal Information information relating to, Third Parties: Parties (i) that was received under confidentiality or non-disclosure agreements entered into between such Third Parties, on the one hand, and the other Party or the other Party’s Subsidiaries, on the other hand, prior to the Effective Time Time, including a BA Agreement; or (ii) that, as between the two partiesParties, was originally collected by the other Party or the other Party’s Subsidiaries and that may be subject to and protected by privacy, data protection or other applicable Laws, including applicable privacy or security regulations promulgated under the Health Insurance Portability and Accountability Act of 1996, as amended. Each As may be provided in more detail in an applicable Ancillary Agreement, each Party agrees that it shall hold, protect and use, and shall cause its Subsidiaries and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary Information information of, or personal Information information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Effective Time or affirmative commitments or representations that were made before the Effective Time by, between or among the other Party or the other Party’s Subsidiaries, on the one hand, and such Third Parties, on the other hand.

Each Party acknowledges that it and its respective Subsidiaries may presently have and, after the Distribution Effective Time, may gain access to or possession of confidential or proprietary Information of, or personal Information relating to, Third Parties: (i) that was received under confidentiality or non-disclosure agreements entered into between such Third Parties, on the one hand, and the other Party or the other Party’s Subsidiaries, on the other hand, prior to the Distribution Effective Time or (ii) that, as between the two parties, was originally collected by the other Party or the other Party’s Subsidiaries and that may be subject to and protected by privacy, data protection or other applicable Laws. Each Party agrees that it shall hold, protect and use, and shall cause its Subsidiaries and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary Information of, or personal Information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Distribution Effective Time or affirmative commitments or representations that were made before the Distribution Effective Time by, between or among the other Party or the other Party’s Subsidiaries, on the one hand, and such Third Parties, on the other hand.

Each Party acknowledges that it and members of its respective Subsidiaries Group may presently have and, after following the Effective Time, may gain access to or possession of confidential or proprietary Information information of, or legally protected personal Information information relating to, Third Parties: Parties (i) that was received under privacy policies and/or confidentiality or non-disclosure agreements entered into between such Third Parties, on the one hand, and the other Party or the members of such other Party’s SubsidiariesGroup, on the other hand, prior to the Effective Time Time, or (ii) that, as between the two parties(2) Parties, was originally collected by the other Party or the members of such other Party’s Subsidiaries Group and that may be subject to and protected by privacy policies, as well as privacy, data protection or other applicable Laws. Each Party agrees that it shall hold, protect and use, and shall cause the members of its Subsidiaries Group and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary Information information of, or legally protected personal Information information relating to, Third Parties in accordance with privacy policies and privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Effective Time or affirmative commitments or representations that were made before the Effective Time by, between or among the other Party or members of the other Party’s SubsidiariesGroup, on the one hand, and such Third Parties, on the other hand.

Each Party acknowledges that it and its respective Subsidiaries may presently have and, after the Effective Separation Time, may gain access to or possession of confidential or proprietary Information of, or personal Information relating to, Third Parties: (i) that was received under confidentiality or non-disclosure agreements entered into between such Third Parties, on the one hand, and the other Party or the other Party’s Subsidiaries, on the other hand, prior to the Effective Separation Time or (ii) that, as between the two parties, was originally collected by the other Party or the other Party’s Subsidiaries and that may be subject to and protected by privacy, data protection or other applicable Laws. Each Party agrees that it shall hold, protect and use, and shall cause its Subsidiaries and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary Information of, or personal Information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Effective Separation Time or affirmative commitments or representations that were made before the Effective Separation Time by, between or among the other Party or the other Party’s Subsidiaries, on the one hand, and such Third Parties, on the other hand.

Each As may be provided in more detail in an applicable Specified Ancillary Agreement, each Party agrees that it shall hold, protect and use, and shall cause its Subsidiaries and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary Information of, or personal Information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Effective Time or affirmative commitments or representations that were made before the Effective Time by, between or among the other Party or the other Party’s Subsidiaries, on the one hand, and such Third Parties, on the other hand.

Each Party of Xxxxxx and AbbVie acknowledges that it and its respective Subsidiaries Affiliates may presently have and, after and following the Effective Time, Time may gain access to or possession of confidential or proprietary Confidential Information of, or personal Information information relating to, Third Parties: Parties (i) that was received under confidentiality or non-disclosure agreements entered into between such Third Parties, on the one hand, and the other Party or the other Party’s SubsidiariesAffiliates, on the other hand, prior to the Effective Time Time; or (ii) that, that as between the two parties, Parties was originally collected by the other Party or the other Party’s Subsidiaries Affiliates and that may be subject to and protected by privacy, data protection or other applicable Laws. Each To the extent provided in this Agreement, each Party agrees that it shall hold, protect and use, and shall cause its Subsidiaries Affiliates and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary Confidential Information of, or personal Information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before prior to the Effective Time Date or affirmative commitments or representations that were made before prior to the Effective Time Date by, between or among the other Party or the other Party’s SubsidiariesAffiliates, on the one hand, and such Third Parties, on the other hand.

Each Party agrees that it shall hold, protect and use, and shall cause the members of its Subsidiaries Group (as applicable) and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary Information information of, or personal Information information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements Contracts that were either entered into before the Effective Time or affirmative commitments or representations that were made before the Effective Time by, between or among the other Party or members of the other Party’s SubsidiariesGroup (as applicable), on the one hand, and such Third Parties, on the other hand.

Each Party agrees that it shall hold, protect and use, and shall cause its Subsidiaries the members of such Party’s Group and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary Information information of, or personal Information information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Distribution Effective Time or affirmative commitments or representations that were made before the Distribution Effective Time by, between or among the other Party or members of the other Party’s SubsidiariesGroup, on the one hand, and such Third Parties, on the other hand.

Each Party of Purchaser and Packager acknowledges that it and its respective Subsidiaries Affiliates may presently have and, after and following the Effective Time, Date may gain access to or possession of confidential or proprietary Information of, or personal Information relating to, of Third Parties: Parties (i) that was received under confidentiality or non-disclosure agreements entered into between such Third Parties, on the one hand, and the other Party or and/or the other Party’s SubsidiariesAffiliates, on the other hand, prior to the Effective Time Date; or (ii) that, that as between the two parties, Parties was originally collected by the other Party or and/or the other Party’s Subsidiaries Affiliates and that may be subject to and protected by privacy, data protection or other applicable Laws. Each Party agrees Purchaser and Packager each agrees, as or to the extent provided in this Agreement, that it shall hold, protect and use, and shall cause its Subsidiaries Affiliates and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary Information of, or personal Information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Effective Time or affirmative commitments or representations that were made before the Effective Time by, between or among the other Party or and/or the other Party’s SubsidiariesAffiliates, on the one hand, and such Third Parties, on the other hand.
