Third Party Interests Documentation -. (i) a personal property registry search (dated no earlier than the completion date) disclosing that there are no security interests which take (or could take) priority over the interests of the City in the Dark Fibre Licence, Dark Fibre Transfer, or Deemed Abandonment, (ii) where the General Security Agreement has been replaced by a specific security interest pursuant to Section 7.3(d), an executed and delivered extension of that security interest over the Dark Fibre Licence, Dark Fibre Transfer and Deemed Abandonment pertaining to the New Work, as well as executed and delivered Subordination and Priority Agreements in respect of all competing security interests, if any, and the Company now agrees to reimburse the City for all of its reasonable legal costs and disbursements for review, settlement and execution of the necessary agreements and for the registration of all related financing statements and financing change statements in respect of the above, (iii) where, in conjunction with the New Work, the Company has constructed Dark Fibre or additional Outside Cable Plant on which the Dark Fibre is dependent, all applicable executed and delivered third party access agreements and non-disturbance agreements as required by Section 5.1 – Third Party Rights-of-Way.
