Third Party License Agreement. OV has entered into a license agreement with LiPlasome Pharma ApS dated as of February 15, 2016, a copy of which has been delivered to ▇▇▇▇▇▇ if requested. OV has entered into a license agreement with 2-BBB Medicines B.V. (“2BBB”) dated as of March 27, 2017, (the “2BBB Agreement”), a copy of which has been delivered to ▇▇▇▇▇▇ if requested. Notwithstanding anything to the contrary contained herein, the inclusion of the license grant and related obligations respecting 2X-111 are conditioned on OV amending the 2BBB Agreement pursuant to a definitive, written amendment. If OV does not enter into the amendment within sixty (60) days following the Effective Date, either Party with thirty (30) days advanced written notice to the other Party, may terminate the inclusion of all OV Intellectual Property relating to 2X-111 from the grant of the license and the related terms and obligations of this Agreement.
