Common use of Third Party Payments Clause in Contracts

Third Party Payments. In the case of payments to one or more third parties with respect to any Licensed Product under this Agreement, Company may reduce its payment to Medical School under Section 4.4 of this Agreement for the applicable Royalty Period by fifty percent (50%) of the amount actually paid to third parties. However, in no event will the reductions made pursuant to this Section 4.6(b) result in more than a fifty percent (50%) reduction in the payments that would otherwise be payable to Medical School under Section 4.4 (after taking into account Section 4.6(b)).
