Third Party Providers/Services Sample Clauses
The Third Party Providers/Services clause defines the terms under which external vendors or service providers may be engaged to perform certain obligations or deliver services under the agreement. Typically, this clause clarifies whether the primary party can subcontract work to third parties, outlines any approval requirements, and may specify the responsibilities for managing those providers. Its core function is to ensure transparency and set expectations regarding the use of third parties, thereby allocating risk and clarifying accountability for services performed by entities other than the contracting parties themselves.
Third Party Providers/Services. Some services may be provided to you directly by our personnel, such as situations in which our personnel install software agents on managed devices or physically install equipment at your premises. These services are distinguishable from services that are provided to you or us by third party providers, who are often referred to in the industry as “upstream providers.” (In this Agreement, we refer to upstream providers as “Third Party Providers” and the services that are provided by Third Party Providers are referred to as “Third Party Services”). By way of example, Third Party Services may include help desk services, malware detection and remediation services, firewall and endpoint security-related services, backup and disaster recovery solutions, and the provision of software used to monitor the managed part of your network, among others.
Third Party Providers/Services. Except for services that SonicWall provides directly (as further described in the relevant Service Plan), the Services will be delivered by, Third Party Providers and facilitated by SonicWall.
