Common use of Third Party Service Integrations Clause in Contracts

Third Party Service Integrations. Headset may enable certain third-party services, including POS Systems and third-party financial institutions, to integrate with the Headset Solution (each, a “Third-Party Service”). Supplier understands that it may need to maintain its own account with such Third-Party Services (each, a “Third-Party Account”) in order to make use of such integrations, and that the relevant third parties who provide such Third-Party Services (“Third-Party Provider”) are solely responsible for the use and access of such Third-Party Services, including the availability and uptimes related thereto. Supplier agrees that Headset will have no liability to Supplier for any unavailability of any Third-Party Services, or any Third-Party Provider’s decision to discontinue, suspend or terminate any Third-Party Services. Supplier further acknowledges and agrees that certain Third-Party Services may be subject to certain API call and/or capacity limits, and that Supplier shall not use any Third-Party Services in excess of any such call or capacity limits communicated to Supplier. Supplier represents and warrants that it will, and that it has all rights and consents necessary to, provide any Third-Party Account information required by Headset.
