This Agreement is not intended to confer upon any other Person any rights or remedies hereunder, except (a) as set forth in Section 8.7(b) and Section 8.7(d); and (b) the Financing Sources are express third party beneficiaries of, and are entitled to rely on and enforce as such the provisions of Sections 7.2 and 10.8. Each of Buyer and Parent may assert the rights of Buyer Indemnitees and Seller Indemnitees, respectively, pursuant to Article VIII hereof.
