Tie-back Easement. City, as the Owner of the Hayden House Parcel, hereby further grants and conveys to the Owner of the Developer Parcel, for the use and benefit of the Owner of the Developer Parcel and its Permitted Users, a nonexclusive temporary easement under the Hayden House Parcel for the purpose of the installation of underground tie- backs and other anchoring systems which may be necessary or required to shore up foundation walls for the initial improvements to be constructed on the Developer Parcel pursuant to the Development Agreement (the "Tie-back Easement"). Installation of any tie-back under the Tie- back Easement must be approved by City and, in particular, must demonstrate no harmful effects to the Hayden House (as defined in the Development Agreement). The Tie-back Easement, granted herein, shall be effective for a period beginning with the Recordation Date of the Development Agreement and ending the sooner of four (4) years thereafter or until a certificate of occupancy is issued for the initial improvement on the Developer Parcel; provided, however, that upon the expiration of the Tie-back Easement any approved tie-backs and other anchoring systems that have previously been installed shall be permitted to remain under the Hayden House Parcel in perpetuity notwithstanding the expiration of the Tie-back Easement.
