Time is of the Essence; Waiver. Time is of the essence with respect to every provision of this Agreement. No waiver by either party of any of its rights or remedies hereunder or otherwise shall be considered a waiver of any other subsequent right or remedy. Except as expressly provided herein, no waiver by either party of any of its rights or remedies hereunder or otherwise shall be effective unless such waiver is evidenced in a written instrument executed by the waiving party.

If either Party waives a particular default, wrongful act, or omission of the other Party, such waiver will not affect or impair the rights of such Party in respect of any other default, wrongful act, or omission of the other Party. If either Party delays or fails to exercise any rights in connection with any default, wrongful act, or omission of the other, such delay or failure will not affect or impair the rights of such Party in respect of that event or any other default, wrongful act, or omission of the other Party. In any event, time shall continue to be of the essence without the necessity of specific reinstatement.
