Time of Admission. A New Member shall be deemed admitted as a member upon the later of: (i) the later of (1) the written request by such Person that the Members' Interest Register reflect such admission and (2) the execution by such Person of this Agreement or a counterpart hereof whereby such person agrees to be bound by the provisions of this Agreement, and (ii) the time such Person is listed as a Member in the Members' Interest Register of the Company.
