Time of Essence/No Waiver. Time is of the essence hereof and no waiver, delay, indulgence, or failure to act by Aspreva regarding any particular default or omission by you shall affect or impair any of Aspreva's rights or remedies regarding that or any subsequent default or omission that is not expressly waived in writing, and in all events time shall continue to be of the essence without the necessity of specific reinstatement.

Neither Georgia Power’s nor Seller’s failure to enforce any provision or provisions of this Agreement shall in any way be construed as a waiver of any such provision or provisions as to any future violation thereof, nor prevent it from enforcing each and every other provision of this Agreement at such time or at any time thereafter. The waiver by either Georgia Power or Seller of any right or remedy shall not constitute a waiver of its right to assert said right or remedy, at any time thereafter, or any other rights or remedies available to it at the time of or any time after such waiver.

No delay or omission on the part of Holder in exercising any right hereunder shall operate as a waiver of such right of any other remedy under this Note. A waiver on any one occasion shall not be construed as a bar to or waiver of any such right or remedy on a future occasion. All rights and remedies of Holder under the terms of this Note, under the terms of the Master Loan Agreement, the Security Agreement and under any statutes or rules of law shall be cumulative and may be exercised successively or concurrently.

No failure or delay by Beneficiary in exercising any right, power or privilege hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power or privilege hereunder preclude any other or further exercise thereof or the exercise of any other right, power or privilege. No waiver, consent or approval of any kind by Beneficiary shall be effective unless contained in a writing signed and delivered by such party. No notice to or demand on Trustor in any case shall entitle Trustor to any other notice or demand in similar or other circumstances, nor shall such notice of demand constitute a waiver of the rights of Beneficiary to any other or further actions.

No waiver by ATS of a breach or omission by Supplier under the Agreement shall be binding on ATS unless it is expressly made in writing and signed by ATS. Any waiver by ATS of a particular breach or omission by Supplier shall not affect or impair the rights of ATS in respect of any subsequent breach or omission of the same or different kind, and in all events time shall continue to be of the essence without the necessity of specific restatement.
Time of Essence/No Waiver. Time is of the essence. If either party declines to pursue a particular default under this Agreement, further defaults may still be pursued.
