Time of Essence Notice. 11.5.1 At any time after the target or approximate Closing Date set forth in Part A either party may notify the other party of the urgency of the need to close and declare time is of the essence. The notice shall specify a time and place for closing during business days and hours at least ten (10) business days from receipt of said notice. In the event the other party is not prepared to close at the time, place and date set forth in said notice, the notifying party shall have no obligation to complete the transaction and may terminate this Contract. For purposes of this section, termination of this Contract shall have no effect on the ability of the terminating party to exercise all otherwise available legal rights and remedies.
